1. Introduction
1.1 These Terms & Conditions (“Terms”) govern your use of the Blue Falcon Consulting (“we”, “us”, “our”) website, services, and any digital or consulting products that we provide.
1.2 By accessing or using our website or engaging our services, you agree to be bound by these Terms. If you do not accept these Terms, do not use the website or our services.

2. Definitions
In these Terms:
“Client” means any individual or business that contracts with us for services.
“User” means anyone who visits or interacts with our website.
“Services” means any IT consulting, managed services, cloud services, web development, mobile development or other services we offer.
“Content” means text, graphics, images, software, audio, video, data, or other materials on the website.
3. Use of Website and Services
3.1 Use of our website is at your own risk. We provide access “as is” and “as available”.
3.2 We may restrict, suspend, or terminate access to our website or services at any time, without notice, for any reason (including for violation of these Terms).

4. Client Engagement & Contracts
4.1 When you contract us for Services, we will provide a formal agreement or statement of work (“SOW”) that outlines scope, deliverables, fees, timelines, and any other relevant terms.
4.2 These Terms form part of that agreement unless otherwise stated in the SOW.
4.3 We reserve the right to revise estimates, timelines, or prices if:
The scope of work changes.
Unexpected complexity arises.
There are external dependencies (e.g., third-party vendors) that alter costs.
5. Payment, Invoicing & Fees
5.1 You agree to pay all fees for Services in accordance with the terms in the SOW or invoice.
5.2 Unless otherwise agreed, all invoices are due within [ 30 ] days of issue.
5.3 Late payments may accrue interest at a rate of 5% per month (or the maximum permitted by South African law).
5.4 We reserve the right to suspend services if payment is overdue, after reasonable notice.
6. Intellectual Property
6.1 All intellectual property rights in materials we create or deliver through our Services (reports, code, designs, documentation) remain with us, unless otherwise agreed in writing.
6.2 We grant you a licence to use these deliverables for your internal business purposes only.
6.3 You may not distribute, resell, or otherwise exploit our work product without our prior written permission.
7. Confidentiality
7.1 Each party (“Receiving Party”) shall keep confidential all information marked as confidential, or which reasonably ought to be understood as confidential, disclosed by the other party (“Disclosing Party”).
7.2 Confidential information may only be used to perform obligations under the Services and not for any other purpose.
7.3 Confidentiality obligations survive termination of the contract.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, Blue Falcon Consulting’s liability to you for any claim arising under or in connection with these Terms or our Services will not exceed the total fees paid by you for the specific Service giving rise to the claim.
8.2 We are not liable for:
Indirect, special, incidental, or consequential losses (including loss of profit, data, business).
Any loss that could reasonably have been avoided by you (you must mitigate your loss).
8.3 Nothing in these Terms excludes or limits our liability for:Death or personal injury caused by our negligence;
Fraud or wilful misconduct; or
Any liability which cannot be limited under applicable South African law.
9. Indemnity
You agree to indemnify, defend and hold harmless Blue Falcon Consulting (and its officers, employees, agents) from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from or in connection with:
Your breach of these Terms;
Your misuse of our website or Services; or
Your violation of applicable law.
10. Privacy & Data Protection
10.1 We collect, process, and store personal data in accordance with our Privacy Policy (link to your policy), and in compliance with the Protection of Personal Information Act (POPIA) in South Africa.
10.2 By using our website or Services, you consent to this processing.
10.3 We may store your personal data on servers located locally or internationally, provided appropriate safeguards are in place.
10.4 We implement reasonable security measures to protect your data from unauthorised access, disclosure, alteration or destruction.
11. Third‑Party Links & Services
11.1 Our website may contain links to third-party websites or services for your convenience. We do not control those sites and are not responsible for their content, their privacy policies, or their practices.
11.2 If you access third-party sites via links on our website, you do so at your own risk.
12. Dispute Resolution & Governing Law
12.1 These Terms are governed by the laws of the Republic of South Africa.
12.2 Any disputes arising under or in connection with these Terms or our Services shall be submitted to the courts of South Africa.
12.3 If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be enforced to the greatest extent permissible and the remaining provisions shall continue in full force.
13. Amendments
13.1 We reserve the right to modify or update these Terms at any time.
13.2 Changes will be effective upon posting to our website.

These Terms (together with any SOW, invoice or other written agreement between you and us) constitute the entire agreement between you and Blue Falcon Consulting in relation to the subject matter, and supersede all prior agreements, understandings, and proposals, whether written or oral.
